Corporate Code of Conduct: A Kantian Perspective

In the business context, the normative criteria by which moral status of individuals and organizational decision making and actions are evaluated are extracted from a recently developed discipline called the business ethics. There are various successful and unsuccessful theoretical frameworks to formulate or describe ethical norms in the business context such as consequentialism, utilitarianism, egoism, principlism, virtuism, and deontological ethics. In this dissertation, moral issues commonly raised in the economic and political system of capitalism have been investigated from a deontological point of view through the notion of “Kantian Capitalism” that was initially coined by the contemporary philosopher Norman E. Bowie.Kantian Capitalism has been analysed thoroughly at three different levels of individual, organizational and the macro level of capitalist system. At the individual level of analysis, by considering the nature of an individual's relation with a corporation, individual's rights and obligations, morally justified and unjustified actions and decisions, and description of an ethical character in a workplace have been investigated. At the organizational level, by focusing on collective actions, company processes, policies, and management models, I study rights, responsibilities, and obligations of corporations to provide a definition of an ethical-moral corporation. Finally, at the macro level, I look at the conceptual foundations of capitalist economic system, such as the right to personal property, the free market, laws and duties of government and financial institutions in market regulations, and duties of international and multinational businesses in globalization movement to clarify the big picture by reflecting on the moral community of international businesses.There are various practical and theoretical difficulties in developing a Kantian code of conduct for a large corporation. I finally describe my attempt in developing a Kantian code of conduct for a large corporation in Iran, namely Hezardastan Holding with more than a thousands employees, through an applied case study. This includes why a code of conduct was needed, how its development was planned and executed, what types of problems its implementation and development encountered, and its impacts on the company culture, leadership, and employee performance.
